Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website universoleappstudios.com (the "Site") and services provided by Universole LLC ("Universole," "we," "us," or "our"). By accessing or using our Site or services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or services.

Services Overview

Universole provides custom software development services, including but not limited to:

• AI chatbot and voice agent development
• Mobile application development (iOS and Android)
• Web application and SaaS platform development
• Business process automation solutions
• Federal contracting services

Specific terms for individual projects will be detailed in separate Service Agreements or Statements of Work.

Use of Site

Permitted Use

You may use our Site for lawful purposes only. You agree not to:

• Use the Site in any way that violates applicable laws or regulations
• Transmit any harmful or malicious code, viruses, or other destructive materials
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the operation of the Site
• Use automated systems (bots, scrapers) to access the Site without permission
• Misrepresent your identity or affiliation with any person or entity

User Accounts

If you create an account on our Site, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Intellectual Property Rights

Our Content

All content on this Site, including but not limited to text, graphics, logos, images, software, and design elements, is the property of Universole LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Project Deliverables

Intellectual property rights for custom software and deliverables developed under service agreements will be addressed in the applicable Service Agreement or Statement of Work. Unless otherwise specified in writing, you will own the final deliverables upon full payment, while Universole retains rights to any pre-existing tools, libraries, and general methodologies used in development.

Service Agreements and Contracts

Proposal and Acceptance

When you engage Universole for services, we will provide a detailed proposal or Statement of Work outlining the scope, timeline, deliverables, and pricing. Services commence upon mutual execution of a Service Agreement.

Payment Terms

Payment terms will be specified in individual Service Agreements. Generally:

• Payments are due according to the agreed schedule (e.g., milestone-based, monthly retainer)
• Late payments may incur interest charges and may result in suspension of services
• Refunds are subject to the terms outlined in the specific Service Agreement

Project Changes

Changes to project scope, timeline, or deliverables must be documented in writing and may result in adjusted pricing and timelines. We will provide a change order for your approval before proceeding with out-of-scope work.

Warranties and Disclaimers

Service Warranties

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables (e.g., bug fixes, maintenance periods) will be outlined in Service Agreements.

Site Disclaimer

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UNIVERSOLE LLC SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA
• DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SITE OR SERVICES
• DAMAGES RESULTING FROM THIRD-PARTY CONTENT OR ACTIONS

Our total liability for any claims arising from services provided under a Service Agreement shall not exceed the total fees paid by you under that agreement.

Indemnification

You agree to indemnify, defend, and hold harmless Universole LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site or services, (b) your violation of these Terms, or (c) your violation of any rights of another party.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. Specific confidentiality terms will be addressed in Non-Disclosure Agreements (NDAs) or Service Agreements as appropriate.

Termination

We reserve the right to suspend or terminate your access to the Site at our sole discretion, without notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or to our business operations
• Exposes us to legal liability

Termination of service contracts will be governed by the applicable Service Agreement.

Federal Contracting

For projects undertaken as a prime contractor or subcontractor on federal contracts, additional terms and FAR (Federal Acquisition Regulation) clauses will apply as specified in the contract documents. These federal terms shall take precedence over conflicting provisions in these general Terms of Service.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.

Arbitration

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Lancaster County, Pennsylvania, in accordance with the rules of the American Arbitration Association, except where prohibited by law or federal contract requirements.

Mobile Applications and In-App Subscriptions

This section applies to mobile applications published by Universole LLC, including Shadow Work: Voice Journal, and to any subscription purchased inside them on the Apple App Store or Google Play. The provisions above covering custom development work and client engagements do not apply to app users.

Licence

We grant you a personal, non-transferable licence to use the app on devices you own or control, for personal, non-commercial use, subject to the terms of the store you obtained it from. You may not resell, redistribute, reverse engineer, or attempt to extract the source code of the app.

What is free and what is paid

Recording, transcription and the read of each individual entry are free. Shadow Work Pro is an auto-renewing subscription that unlocks Patterns: the read across your entries that names what keeps coming back, updated as you keep recording.

Subscription terms

Shadow Work Pro is offered as an auto-renewing subscription:

• Monthly: 4.99 USD per month
• Annual: 24.99 USD per year

These are the United States prices. Prices in other regions are set for each local storefront and are not currency conversions of the figures above, so they may be higher or lower. The price shown in the app at the time of purchase is always the price that applies.

New subscribers may be offered a free trial of one week. A free trial is available once per Apple ID or Google account. If you have already used a trial for this subscription, you will be charged the full price at purchase, and the app shows the standard price rather than a trial offer in that case. If a free trial is offered and you subscribe, any unused portion of the trial is forfeited when you purchase a subscription.

Payment is charged to your Apple ID or Google account at confirmation of purchase. Your subscription renews automatically at the same price for the same period unless you cancel it at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the current period ends.

Managing and cancelling

On iPhone, manage or cancel your subscription in Settings, then your name, then Subscriptions. On Android, open the Google Play Store, tap your profile, then Payments and subscriptions. Cancelling stops the next renewal. It does not shorten the period you have already paid for, and access continues until that period ends.

Deleting the app does not cancel a subscription. You must cancel through the store.

Refunds

Purchases are processed by Apple or Google, and refunds are handled by them under their own policies. We cannot issue refunds directly. Apple refund requests can be made at https://reportaproblem.apple.com. Google Play refund requests can be made at https://support.google.com/googleplay/answer/2479637.

Your content

Entries you create in the app belong to you. Entries are stored on your device rather than on our servers, so we do not access, review, or moderate them, and we claim no ownership over them.

You are responsible for what you record, and for ensuring you have the right to record any other person's voice where the app is used to do so.

Availability and changes

Features may change as the app is updated, and a feature offered today may be modified or discontinued. If we make a material adverse change to what an active paid subscription provides, you may cancel through your store as described above.

The app depends on third party services for transcription and extraction, and those services may be temporarily unavailable. We do not warrant uninterrupted or error free operation.

No professional advice

Shadow Work is a journaling and reflection tool. It is not therapy and does not diagnose anything. It is not a medical, psychological, legal, or financial service, and nothing produced by it constitutes professional advice of any kind. If you are in crisis, contact local emergency services or a crisis line.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Site or services after such modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any Service Agreements, NDAs, and other documents expressly referenced herein, constitute the entire agreement between you and Universole LLC regarding the use of the Site and services.
